TERMS AND CONDITIONS
Engagement with Grassroot Community Development Initiative
1. Introduction
These Terms and Conditions govern the engagement between Grassroot Community Development Initiative (hereafter referred to as “the CBO”) and the Partner/Individual/Organization engaging with the CBO.
2. Legal Status
Grassroot Community Development Initiative is a duly registered Community-Based Organization operating in accordance with the laws of Kenya and its registered constitution.
3. Purpose of Engagement
The engagement shall support the objectives of the CBO, including but not limited to:
Community empowerment
Youth and women development
Environmental conservation
Education and social welfare initiatives
Economic empowerment programs
Community health
4. Scope of Work
The specific activities, responsibilities, deliverables, timelines, and expected outcomes shall be clearly defined in a separate agreement, proposal, Memorandum of Understanding (MoU), or contract.
5. Roles and Responsibilities
5.1 Responsibilities of the CBO:
Provide accurate information about its programs and activities
Ensure transparency and accountability in the use of resources
Facilitate implementation of agreed activities
Provide progress reports where applicable
5.2 Responsibilities of the Partner/Individual:
Adhere to agreed timelines and deliverables
Respect the CBO’s constitution and governance structures
Use funds or resources strictly for agreed purposes
Comply with Kenyan laws and community standards
6. Financial Terms
Any funding, donations, or grants shall be documented in writing.
Disbursement schedules shall be agreed upon in advance.
Financial accountability reports shall be provided where required.
Misuse of funds may result in termination and possible legal action.
7. Code of Conduct
All parties shall:
Act with integrity and professionalism
Avoid discrimination on the basis of gender, ethnicity, religion, disability, or political affiliation
Avoid conflict of interest
Refrain from harassment, exploitation, or abuse
8. Child Protection & Safeguarding
Where activities involve children or vulnerable persons:
All partners must adhere to safeguarding policies
Background checks may be required
Any abuse or misconduct must be reported immediately
9. Confidentiality
All confidential information shared during the engagement shall not be disclosed to third parties without written consent.
10. Intellectual Property
Any materials, reports, branding, or publications produced under this engagement shall belong to the CBO unless otherwise agreed in writing.
11. Monitoring and Evaluation
The CBO reserves the right to monitor project activities and evaluate outcomes to ensure compliance and effectiveness.
12. Termination
This engagement may be terminated:
By mutual agreement
If either party breaches these terms
In cases of misconduct, fraud, or illegal activities
Notice of termination shall be provided in writing.
13. Dispute Resolution
Any dispute shall first be resolved through dialogue and mediation. If unresolved, the matter shall be handled in accordance with Kenyan law.
